中國公司董事忠實與勤勉義務案例群研究 = A case study of directors' duty and diligence in China

English Abstract

Directors 'obligations are also known as directors' fiduciary duty, which originated in the UK. Which mainly includes the directors' loyalty and diligence obligations. As a result, the company plays an increasingly important role in China's economy, and the corporate governance model has gradually changed from "shareholder centralism" to "board centralism". So the directors of the obligations of a better regulation and improvement is directly related to China's economic growth. Since 2005, China's "Company Law" on the directors of the loyal obligations and diligence obligations since the directors of the obligations of the company has become the core content of the law. However, even if the provisions of the Company Law on the directors' obligations have been stipulated in our country, there are still many cases concerning the directors' obligations in practice. Some problems still arise when the actual use of directors' obligations in China is solved. In practice, although the relevant cases, but to remove the main body for executives and other unrelated personnel, the real directors as the main body of the case and not many. Directors' obligations in the specific application of the case, only by the area, and even because there is no specific implementation of the provisions of the obligations of directors arbitrarily determined. In view of the above problems, this paper focuses on the directors' duty. The full text is divided into five chapters. The first chapter is the introduction. Mainly about research issues, status and significance, research structure and methods. Chapter II deals with the loyalty of directors. In the loyalty of the obligation is divided into three small parts, namely: directors self-trading, directors usurped the opportunity, the directors are prohibited. Starting from the director's self-dealing discussion, first on the background of self-trading, content, the scope of the subject and other related concepts discussed, followed by a brief analysis of the relevant cases of self-transaction related to directors, and that is analysis in practice, if the case changes, Combined with the views of relevant scholars and the author's thoughts should be how to deal with. This is the focus of the article part of the discussion. For the directors to usurp the opportunity and the directors of the prohibition of competition is also in accordance with: the relevant concepts, case studies, case changes in the model discussed. Chapter 3 deals with the diligence obligations of directors. It is also a brief exposition of the diligence obligations, followed by an analysis and summary of the relevant cases of diligence obligations. Finally, combined with the actual analysis, if the case changes should be how to solve. The fourth part is to improve the system of directors' obligations, there are two main points: First, the use of rules to determine the operation, the second is the construction of good faith obligations. Chinese Abstract

董事义务又被称为董事的信义义务,起源于英国衡平法。其主要包括董事的忠实义务和勤勉义务。由于现在,公司在我国经济中发挥越来越重要的作用,而公司治理模式也逐渐由“股东会中心主义”向“董事会中心主义”过渡。所以对于董事义务进行更好的规制和完善直接关系到我国经济的增长。自 2005 年的我国《公司法》对董事的忠实义务和勤勉义务规定以来,董事义务已成为公司法的核心内容。在实践中有关董事的“忠实义务”和“勤勉义务”的案例越来越多,在 北大法宝等案例搜索平台上分别以“忠实义务”“勤勉义务”为关键词进行案例搜索也都有数千条之多。 但是即便对我国《公司法》对董事义务已经有所规定,实践中也有不少关于董事义务的案例,在我国实际运用董事义务解决相关问题时,仍然出现了一些问题。由于缺乏具体制度的规定,在真正运用上,发挥不了董事义务应有的功能。在实践中的相关案例虽多,但是除去主体为高管等不相关人员,真正以董事作为案件主体的并没有很多。董事义务在案件的具体运用上,仅仅一带而过,甚至由于没有具体的执行规定,对于董事义务随意认定。 针对以上问题,本文以案例为主对董事义务进行研究。全文分为五章。第一章为导论。主要讲述的是研究问题、现状与意义,研究结构与方法。第二章论述的董事的忠实义务。在忠实义务中又分为三个小部分,分别是:董事自我交易、董事篡夺公司机会、董事竞业禁止。先从董事的自我交易论述,先对自我交易的背景、内涵、主体范围等相关概念进行论述,接下来就是有关董事自我交易相关案件的简要分析,再者就是分析在实践中如果案例出现变化,结合相关学者的观点和笔者的想法应该如何应对。这个是文章重点论述的部分。对于董事篡夺公司机会和董事竞业禁止也是按照:相关概念、案例分析、案例变化的模式进行论述。第三章讲述的是董事的勤勉义务。也是先对勤勉义务进行简要论述,接下来是对勤勉义务的相关案例进行分析和总结。最后是结合实际分析,若是案例发生变化应该如何解决。第四部分是完善董事义务的制度构建,主要有两点:一是经营判断规则的运用,二是诚信义务的构建。最后一部分是文章的结语,是对董事义务的总结。 关键词:董事,忠实义务,勤勉义务
