澳門大學碩士學位論文 Abstract Industrial policy law (IPL) is a research issue actively discussed in the economic law field in recent years, and pharmaceutical industry is a vital industry which ensures the public health and promotes the economic development. IPL is applied to pharmaceutical industry in the thesis, which can both provide practical materials based on pharmaceutical industry for the macro and abstract theory of IPL, and demonstrate a new way to improve Chinese pharmaceutical legislation system. The thesis includes 5 chapters. Chapter 1 is the theoretical framework and the logical starting point of the whole thesis. It first introduces the definition, the characters and the basic system of IPL, then indicates the inner adjustment mechanism among industrial economy, industrial policy and IPL. Chapter 2 investigates the situation of the domestic and oversea pharmaceutical industrial policies and their legitimization. The American, Japanese, European and Chinese pharmaceutical industrial policies and laws are introduced, and the low legitimization standard of the Chinese pharmaceutical industrial policies is the basic finding. Chapter 3 is the analysis of the essentiality of legislating the IPL of Chinese pharmaceutical industry (CPI). The thesis assumes the IPL of CPI should be legislated in terms of the international trends, the disadvantages of policy overflow, the need of industry development, the improvement of pharmaceutical legislation system and the evaluation of administrative reasonableness. Chapter 4 is the industrial economics analysis of CPI. It objectively demonstrates the situation of CPI from industrial organization, industrial structure, industrial region and industrial technology by applying the industrial economics theory and using a large amount of statistics to provide the comprehensive and real industrial economics materials for the next chapter. Chapter 5 is the outcome of the project. On a basis of the research contents of the -3- 澳門大學碩士學位論文 former four chapters, Chapter 5 sets up the IPL system of CPI which consists of the general rules, the industrial organization rules, the industrial structure rules, the industrial region rules and the industrial technology rules. 澳門大學碩士學位論文 摘要 產業政策法是近年來經濟法學界討論活躍的領域之一,醫藥產業是維繫人民 生命健康和促進國民經濟發展的重要產業。本論文試圖將產業政策法引入醫藥產 業一方面為較宏觀抽象的產業政策法理論提供以具體行業背景為依託的實踐素 材,另一方面也為完善我國藥事法律體系提供新的方向。 第一章是理論基礎,也是全文的邏輯起點。它首先介紹了產業政策法的概 念、特徵和基本制度體系等内容,隨後介紹了產業經濟、產業政策和產業政策法 系統的內部調整機制。 產業政策法是調整產業政策制訂和實施過程中產生的經濟關係的法律規範 的總稱。它具有政策性、社會本位性、綜合性等基本特徵。其基本制度體系包括 產業組織法律制度、產業結構法律制度、產業佈局法律制度和產業技術法律制度。 產業經濟、產業政策和產業政策法之間存在作用與反作用的關係:產業經濟狀況 決定了產業政策内容,產業政策內容決定產業政策法內容。另一方面,產業政策 反作用於產業經濟,產業政策法不僅調整產業經濟,也調整產業政策,它們分別 構成了產業政策法的兩個層面。 第二章的研究內容是國內外醫藥產業政策及其法律化的狀況。本章分別介紹 和比較了美國、日本、歐盟和中國的醫藥產業政策及其法律。 本章發現:各國雖然社會制度和經濟背景不同,但醫藥產業政策已被普遍接 受,並逐步成為政府宏觀調控國家醫藥產業的一種重要手段。就中外差異而言, 中外醫藥產業組織政策的方向不同,中外醫藥產業佈局政策的目標不同,中國醫 藥產業政策法律化程度低於國外。 第三章是中國醫藥產業制訂產業政策法的必要性分析。本章從國際趨勢、 “泛政策化”弊端、產業發展的要求、法律體系的完善和行政合理性評價五方面 分析,認為我國醫藥產業有必要制訂一部綜合的產業政策法。 第四章是中國醫藥產業的產業經濟學分析。本章運用產業經濟學理論,從產 業組織、產業結構、產業佈局和產業技術四方面分析了我國醫藥產業狀況。本章 運用了大量的統計資料,力求客觀真實地描述,為第五章產業政策法的制訂提供 全面而詳實的產業經濟素材。 -1- 澳門大學碩士學位論文 產業組織方面,我國醫藥產業整體處於“過度競爭”狀態,其調整的核心應 是提高市場集中度、降低退出壁壘、提高民族醫藥企業的市場份額、盤活過剩生 產能力和提高R&D強度;產業結構方面,發展的重點應是現代生物醫藥、中藥和 優勢原料藥;產業佈局方面,整體處於“過度分散”狀態,地方醫藥產業政策存 在較多問題;產業技術方面,整體技術力量薄弱,調整重點應是:促進創新和產 業化,鼓勵引進,限制低水準轉讓,加強中藥的技術保護。 第五章是本課題研究的最終結果。本章綜合前四章研究内容,探索中國醫藥 產業的產業政策法體系。分總則、產業組織法律制度、產業結構法律制度、產業 佈局法律制度和產業技術法律制度五部分,分別介紹了我國醫藥產業制訂產業政 策法的具體內容。 總則部分規定了醫藥產業政策的主體、主體行為和法律責任;產業組織部分 規定了啞鈴型企業規模結構、委託生產、CRO 和引進外資策略;產業結構部分規 定了醫藥產業結構調整的目標、重點和具體制度:產業佈局部分規定了佈局目 標、戰略、機制和地方醫藥產業政策的審議評估機制等內容。其中總體目標是效 率優先、兼顧公平,總體戰略是非均衡協調發展戰略;產業技術部分規定了技術 發展方向、技術創新體系、人才培養戰略和技術保護的目的和方式等内容。 本課題各章相互聯繫,緊緊圍繞“中國醫藥產業制訂產業政策法”這一中心 層層展開。第一章是基礎部分,第二、三、四章是分析部分,第五章是結論部分。 關鍵字:中國醫藥產業 產業政策法 產業組織 產業結構 產業佈局 產業技術 -2-
